Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the SiteBot platform, including the web application, API, and any associated hardware ("Service"), provided by SiteBot Ltd ("we", "us", "our"), a company registered in England and Wales.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Definitions
- "Customer" means the organisation that subscribes to the Service.
- "User" means any individual authorised by the Customer to access the Service.
- "Worker" means any individual whose attendance is tracked by the Service.
- "Site" means a construction site or workplace managed through the Service.
- "Hardware" means any physical equipment (readers, cameras, controllers) supplied by SiteBot.
3. Service Description
SiteBot provides a cloud-based construction site management platform including attendance tracking, digital inductions, daily reporting, and access control functionality. The Service is provided on a software-as-a-service basis.
4. Account and Access
- You are responsible for maintaining the confidentiality of your account credentials.
- You must ensure that all Users comply with these Terms.
- You must not share account credentials or API keys with unauthorised parties.
- We reserve the right to suspend access if we reasonably believe these Terms have been breached.
5. Subscription and Payment
- Subscription fees are charged monthly or annually as agreed at the time of purchase.
- Tier 0 (Software Only) includes a free trial period of 90 days, after which the standard monthly fee applies unless cancelled.
- Tier 1 and Tier 2 subscriptions have a minimum commitment period of 12 months.
- All prices are exclusive of VAT, which will be added at the applicable rate.
- We may adjust pricing with 30 days' written notice. Existing subscription terms are honoured until renewal.
6. Hardware
- Hardware supplied by SiteBot remains the property of SiteBot at all times.
- Hardware is leased to the Customer for the duration of the subscription.
- The Customer is responsible for the hardware while it is on their premises.
- On termination of the subscription, hardware must be returned to SiteBot or made available for collection.
- Hardware setup and installation fees are non-refundable.
7. Data and Privacy
- We process personal data in accordance with our Privacy Policy and applicable Data Processing Agreement.
- The Customer is the data controller for Worker data. SiteBot acts as a data processor.
- We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Resell or sublicense the Service without our written consent
9. Service Availability
- We target 99.5% uptime for the cloud platform, measured monthly.
- Planned maintenance windows will be communicated in advance where possible.
- We are not liable for downtime caused by factors outside our reasonable control.
10. Limitation of Liability
- To the maximum extent permitted by law, our total liability is limited to the fees paid by the Customer in the 12 months preceding the claim.
- We are not liable for indirect, consequential, or incidental damages.
- Nothing in these Terms excludes liability for death, personal injury caused by negligence, or fraud.
11. Termination
- Either party may terminate with 30 days' written notice, subject to any minimum commitment period.
- On termination, your access to the Service will be revoked and your data will be available for export for 30 days.
- After the 30-day export period, your data will be deleted in accordance with our data retention policy.
12. Intellectual Property
- SiteBot retains all intellectual property rights in the Service.
- The Customer retains all rights to their data.
- Feedback or suggestions provided to SiteBot may be used to improve the Service without obligation.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance.
